3. Medical Disclaimer

Users are solely responsible for:

• Verifying all AI-generated findings and recommendations
• Making final clinical decisions based on their professional judgment
• Ensuring compliance with applicable medical standards and regulations
• Maintaining appropriate professional liability insurance

4. Eligibility

Our Services are intended exclusively for:

• Licensed healthcare professionals (MD, DC, DVM, or equivalent)
• Healthcare organizations and clinical practices
• Authorized staff operating under supervision of licensed professionals

You represent and warrant that you meet these eligibility requirements and have the legal authority to enter into this agreement.

5. Account Registration and Security

To use our Services, you must:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

6. Acceptable Use Policy

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Upload false, misleading, or inaccurate medical data
• Attempt to reverse engineer, decompile, or extract our AI models
• Interfere with or disrupt the Services or servers
• Access the Services through automated means without authorization
• Resell or redistribute the Services without written permission
• Use the Services to harm, harass, or impersonate others
• Violate any applicable healthcare privacy laws (HIPAA, etc.)

7. Intellectual Property Rights

Our Rights: All rights, title, and interest in the Services, including all software, algorithms, AI models, documentation, and content, are owned by AI Scan Solutions or our licensors. These Terms do not grant you any ownership rights.

Your Data: You retain all rights to the medical data and images you upload. By using our Services, you grant us a limited license to process your data solely to provide the Services and improve our AI models (using de-identified data only).

Generated Reports: You may use AI-generated reports for clinical purposes in accordance with these Terms and applicable laws.

8. Data Privacy and HIPAA

Our handling of your data is governed by our Privacy Policy. For covered entities and business associates subject to HIPAA:

• We will execute a Business Associate Agreement (BAA) upon request
• We implement appropriate safeguards for Protected Health Information (PHI)
• You remain responsible as the covered entity for HIPAA compliance

9. Fees and Payment

Certain features of our Services require payment of fees. You agree to:

• Pay all applicable fees as described in your subscription plan
• Provide accurate and current billing information
• Authorize us to charge your payment method for recurring subscriptions
• Pay any applicable taxes

We reserve the right to modify our fees with 30 days’ notice. Refunds are provided at our discretion as described in our refund policy.

10. Subscription and Cancellation

Subscriptions automatically renew unless cancelled. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial billing periods.

11. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue Services with reasonable notice
• Perform scheduled maintenance
• Limit certain features or access

We are not liable for any service interruptions or unavailability.

12. Limitation of Liability

Our total liability for any claims related to the Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

Some jurisdictions do not allow certain liability limitations, so these may not apply to you.

13. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Services will be error-free or uninterrupted
• AI-generated results will be accurate, complete, or reliable
• Any errors or defects will be corrected
• The Services will meet your specific requirements

14. Indemnification

You agree to indemnify and hold harmless AI Scan Solutions, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your medical or clinical decisions

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion for any other reason

Upon termination, your right to use the Services immediately ceases. Provisions that by their nature should survive termination shall survive.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms with a new “Last Updated” date
• Sending notice to your registered email address
• Displaying a prominent notice in the Services

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State in which AI Scan Solutions is registered, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through:

• You must exercise independent professional judgment for all clinical decisions
• You are responsible for maintaining compliance with all applicable healthcare regulations
• You will not rely solely on AI-generated outputs for diagnosis or treatment
